User Agreement

1. General Provisions

This User Agreement (hereinafter "Agreement", "Terms of Use") governs the relationship between GSE (DzhiEsE) Limited Liability Partnership (hereinafter "Company", "we", "us", "our"), on the one hand, and the user of the website gse.kz (hereinafter "Website", "User", "you"), on the other hand.

By using the Website in any way, including but not limited to viewing pages, downloading materials, submitting feedback forms, you express your full and unconditional agreement to this Agreement in its entirety.

This Agreement is a legally binding adhesion contract in accordance with Article 389 of the Civil Code of the Republic of Kazakhstan.

2. Terms and Definitions

The following terms are used in this Agreement:

2.1. Website

the website located at gse.kz, including all its subdomains, pages, services, and functional capabilities.

2.2. User

any individual or legal entity accessing and using the Website.

2.3. Company

GSE (DzhiEsE) LLP, BIN 160640017433, legal address: Republic of Kazakhstan, Almaty, Geologov St. 2, bld. 10.

2.4. Content

any information, materials, data, texts, images, audio, video, software, and other objects posted on the Website.

2.5. Services

products, services, and offerings provided by the Company and described on the Website.

2.6. Personal Data

information relating to a specific or identifiable personal data subject in accordance with the Law of the Republic of Kazakhstan "On Personal Data and Their Protection".

3. Subject Matter of Agreement

The subject of this Agreement is the Company's provision to the User of access to the Website and its functional capabilities under the terms set forth in this Agreement.

The Website provides information about the Company, its products and services, as well as the ability to contact the Company through feedback forms.

4. Website Usage Rules

The User undertakes to use the Website only for lawful purposes and in accordance with this Agreement:

• The Website is intended for obtaining information about Company products and services
• Use of the Website is permitted only for persons who have reached 18 years of age or have appropriate consent from legal representatives
• The User undertakes to provide accurate information when filling out forms on the Website
• The User is fully responsible for the security of their account credentials
• Commercial use of the Website without written consent of the Company is prohibited
• Use of automated means of accessing the Website without Company permission is prohibited

5. Prohibited Activities

When using the Website, the User is prohibited from:

• Violating the legislation of the Republic of Kazakhstan and applicable international norms
• Taking actions aimed at disrupting the normal functioning of the Website
• Uploading, publishing, or transmitting malicious software
• Gaining unauthorized access to Website systems
• Collecting personal data of other users without their consent
• Using the Website to distribute spam, advertising, or unwanted materials
• Violating intellectual property rights of the Company or third parties
• Posting false, misleading, or defamatory information
• Impersonating another person or organization
• Taking actions that create excessive load on Website infrastructure
• Bypassing technical protection measures of the Website
• Using the Website for purposes contrary to its intended purpose

Violation of these prohibitions may result in blocking access to the Website, as well as civil, administrative, or criminal liability in accordance with the legislation of the Republic of Kazakhstan.

6. User Obligations

The User undertakes to:

• Comply with the terms of this Agreement and the legislation of the Republic of Kazakhstan
• Provide accurate and current information
• Not take actions that violate the rights of the Company or third parties
• Independently ensure the security of devices and software used
• Immediately notify the Company of any security breaches discovered
• Not use the Website in ways that may cause damage to the Company
• Respect intellectual property rights

7. Intellectual Property

All intellectual property objects posted on the Website belong to the Company or its licensors and are protected by the legislation of the Republic of Kazakhstan and international agreements in the field of intellectual property.

Exclusive rights to the following objects belong to the Company:

• "GSE" trademarks, logos, and company name
• Website design, structure, and layout
• Website software and source code
• Texts, articles, product descriptions
• Photographs, images, graphic elements
• Databases and their contents
• Audio and video materials
• Other copyright objects

Without prior written consent of the Company, copying, reproduction, modification, distribution, public display, or any other use of Website Content is prohibited.

8. Trademarks

The "GSE" trademark, logos, and other means of Company identification are registered trademarks and are protected by the legislation of the Republic of Kazakhstan.

Third-party trademarks mentioned on the Website are the property of their respective owners and are used solely for informational purposes.

9. User Content

By posting any content on the Website (comments, reviews, requests), the User warrants that they have all necessary rights to such content.

By posting content on the Website, the User grants the Company a non-exclusive, royalty-free, perpetual license to use such content in any way, including reproduction, distribution, modification, and public display.

The User bears full responsibility for posted content and its compliance with the legislation of the Republic of Kazakhstan, as well as for any violations of third-party rights.

The Company reserves the right to remove or edit user content without explanation and without prior notice.

10. Privacy and Personal Data

Processing of Users' personal data is carried out in accordance with the Company's Privacy Policy and the legislation of the Republic of Kazakhstan on personal data.

Detailed information about personal data processing is contained in the Privacy Policy available at gse.kz/privacy. By using the Website, the User confirms that they have read and agree to the Privacy Policy.

11. Information About Products and Services

The Website contains information about Company products and services, which is for informational purposes only.

Despite measures taken to ensure information accuracy, the Company does not guarantee the absolute accuracy, completeness, and timeliness of all materials on the Website.

Information about prices, availability, and product characteristics is for reference purposes and does not constitute a public offer. Current terms are clarified upon contacting the Company.

The Company reserves the right to change the range, characteristics, prices, and terms without prior notice.

12. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Company disclaims all warranties, express or implied, with respect to the Website:

• The Website is provided "as is" and "as available"
• The Company does not guarantee uninterrupted and error-free operation of the Website
• The Company does not guarantee the absence of viruses and malicious components
• The Company does not guarantee the suitability of the Website for any specific purposes
• The Company does not guarantee the accuracy, completeness, and timeliness of information on the Website
• The Company does not guarantee results that may be obtained from using the Website
• The Company is not responsible for technical failures, communication interruptions, or actions of third parties

The User uses the Website solely at their own risk. All responsibility for possible consequences of using the Website lies with the User.

13. Limitation of Liability

To the maximum extent permitted by the legislation of the Republic of Kazakhstan, the Company is not liable for:

• Any direct, indirect, incidental, punitive, or consequential damages
• Lost profits, data loss, or business reputation damage
• Damages arising from use or inability to use the Website
• Damages caused by actions or inaction of third parties
• Damages related to unauthorized access to transmitted data
• Damages caused by technical failures, viruses, or other malicious programs
• Damages arising from force majeure circumstances
• Any damages arising from causes beyond the Company's control

In any case, the Company's aggregate liability under this Agreement shall not exceed 10,000 (ten thousand) Kazakhstani tenge.

This limitation of liability does not apply in cases where limitation of liability is prohibited by mandatory provisions of the legislation of the Republic of Kazakhstan.

14. Indemnification

The User agrees to indemnify the Company, its affiliates, officers, employees, and agents against all losses, expenses, and costs (including reasonable legal fees) arising from:

• User's violation of this Agreement
• User's violation of third-party rights
• User's violation of the legislation of the Republic of Kazakhstan
• Any third-party claims related to User's actions
• User's posting of illegal or rights-infringing content

15. Links to Third-Party Resources

The Website may contain links to third-party websites. Such links are provided solely for the convenience of Users.

The Company does not control third-party resources and is not responsible for their content, privacy policy, security, or any damages related to their use.

16. Force Majeure

The Company is released from liability for non-performance or improper performance of obligations if caused by force majeure circumstances, including:

• Natural disasters (earthquakes, floods, fires, etc.)
• Military actions, terrorist acts, mass unrest
• Actions of government authorities restricting Company activities
• Epidemics, pandemics, quarantine restrictions
• Strikes, blockades, power outages
• Cyberattacks, hacker attacks, DDoS attacks
• Failures in the operation of internet providers and telecommunications operators
• Other circumstances beyond the reasonable control of the Company

In the event of force majeure circumstances, the term for fulfilling obligations is extended for the duration of such circumstances.

17. Access Termination

The Company has the right at any time without prior notice to:

• Restrict or terminate User's access to the Website
• Block User's account
• Delete user content
• Take other measures to protect its interests

Access termination does not release the User from obligations that arose prior to termination, including indemnification obligations.

18. Dispute Resolution

All disputes arising from or in connection with this Agreement shall be resolved in the following order:

• The parties undertake to attempt to resolve the dispute through negotiations
• A mandatory pre-trial claim procedure applies, with a claim review period of 30 (thirty) calendar days
• If agreement is not reached, the dispute is submitted to the court at the Company's location

Exclusive jurisdiction lies with the courts of Almaty, Republic of Kazakhstan. The parties waive the right to jury trial.

19. Governing Law

This Agreement is governed by and construed in accordance with the laws of the Republic of Kazakhstan without regard to conflict of law provisions.

The User agrees to comply with all applicable laws and regulations of the Republic of Kazakhstan when using the Website.

20. Changes to Agreement

The Company reserves the right to modify this Agreement at any time at its sole discretion.

The current version of the Agreement is posted on this page with the date of last update. The Company is not obligated to notify Users of changes individually.

Continued use of the Website after changes are made constitutes User's agreement to the new version of the Agreement.

21. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in effect. The invalid provision shall be replaced with a valid one that most closely corresponds to the parties' original intent.

22. Entire Agreement

This Agreement together with the Privacy Policy constitutes the entire agreement between the User and the Company regarding use of the Website and supersedes all prior agreements on this matter.

23. Agreement Language

This Agreement is drawn up in Russian. In case of discrepancies between versions in different languages, the Russian version shall prevail.
